Legal Compliance Manager

Job Purpose:

The legal compliance manager works with the General Counsel to ensure that the Company adheres to all legal standards and in-house policies and procedures. The legal compliance manager will be responsible for enforcing regulations in all aspects and levels of business as well as provide guidance on compliance matters. He or she will also lead strategic and tactical corporate legal initiatives and will provide the General Counsel support in a variety of legal matters and projects. 

Job Duties and Responsibilities:

  •  Develop and oversee control systems to prevent or deal with violations of legal guidelines and internal policies 
  • Revise and improve procedures, reports etc. periodically to identify hidden risks or non-conformity issues. 
  • Draft, modify, implement and manage company policies. This includes Company’s Record Retention Program and Ethics Program. 
  • Collaborate with the General Counsel and HR department to monitor enforcement of standards and regulations. 
  • Managing all Real Estate files, including keeping up with terminations and the drafting of renewals. 
  • Creating, organizing and drafting organizational documents, including articles of incorporation or dissolution, stock certificates and merger agreements. 
  • Prepare and/or assist in compiling board and committee materials and resolutions. 
  • Responding to requests for information, subpoenas and bankruptcy filings and managing such files. 
  • Conducts legal research for the development of legal opinions and memos. 
  • Establishes, manages, and monitors processes and systems to ensure compliance with court filing dates and project deadlines. 
  • Perform other duties of a similar or related level and assists with special/confidential projects as necessary or assigned. 
  • Work cooperatively with others. 
  • Other duties as assigned.

Qualifications:

  • Bachelor’s Degree 
  • Paralegal Certificate 
  • 7-10 years of corporate paralegal or compliance manager experience 
  • Proven high proficiency in Microsoft Office Suite products, entity management systems and database creation and maintenance 
  • Detailed oriented and analytical 
  • Demonstrated excellent oral and written communication and organizational skills 
  • Strong problem solving and interpersonal skills 
  • Proved ability to multi-task, be flexible and able to prioritize and complete projects effectively and efficiently 
  • Must be able to work independently and anticipate support needs of General Counsel and Legal department 
  • Must be able to maintain high level of professionalism and confidentiality 

Travel Requirement:

  • Up to 10% travel to branches requiring some overnight stay, travel to industry related conferences and training requiring some extended stay.
